These Terms and Conditions (“Terms”) govern your use of mynians.com (the “Site”) and set out the general framework of the business relationship between you and Mynians, LLC (“Mynians,” “we,” “us,” or “our”), a Florida limited liability company located in Winter Garden, Florida. 1. Agreement to Terms
By accessing or using the Site, you agree to these Terms. If you engage Mynians for services, these Terms also apply to that relationship except where a signed agreement between you and Mynians provides otherwise (see Sections 4 and 5). If you do not agree with these Terms, please do not use the Site.
2. Business Use
The Site and our services are directed to businesses and business representatives. By requesting a quote or engaging our services on behalf of an organization, you represent that you are authorized to act for that organization, and “you” in these Terms includes that organization.
3. Our Services
Mynians provides business technology services, which may include managed IT services, IT consulting and strategy, cybersecurity, cloud services and integrations, hosted business VoIP, structured cabling and networking, video surveillance, and related professional technology services. Descriptions of services on the Site are general in nature and for information only; they are not offers, guarantees, or service commitments. The specific services we will deliver to you are defined in the applicable quote, proposal, or agreement described in Section 4.
4. Quotes, Proposals, and Statements of Work
Specific engagements are governed by written documents signed or accepted by both parties — such as quotes, proposals, order forms, statements of work (SOWs), managed services agreements, VoIP service agreements, or other service agreements (collectively, “Service Agreements”). Scope, deliverables, pricing, recurring charges, schedules, equipment, subscriptions, response targets, and any service levels are established by the applicable Service Agreement, not by the Site or these Terms. A quote or proposal is not binding until accepted in accordance with its own stated terms.
5. Order of Precedence
If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls for the services it covers. Among Service Agreements, a later signed document controls over an earlier one for the same subject matter unless the documents state otherwise. These Terms continue to govern use of the Site and any matters a Service Agreement does not address.
6. Customer Responsibilities
When you engage our services, you agree to: provide accurate and complete information about your business and technical environment; grant reasonable, authorized access to the systems, sites, and credentials needed to perform the work; maintain lawful licenses for the third-party software and services you use; cooperate with reasonable requests, scheduling, and safety requirements; maintain any responsibilities allocated to you in the applicable Service Agreement (which may include data backups, end-user management, or vendor coordination); and use our services only for lawful purposes. You are responsible for the accuracy of information you provide and for decisions you make based on our recommendations.
7. Fees, Billing, and Payment
Pricing, invoicing schedules, payment methods, renewal terms, and any charges for changes or early termination are set out in the applicable Service Agreement, quote, or invoice. Unless a Service Agreement states otherwise, invoices are payable as stated on the invoice, and amounts are exclusive of applicable taxes, which are your responsibility where lawfully imposed. The Site itself does not process payments.
8. Third-Party Products and Services
Our services frequently involve third-party products and services — for example, hardware from manufacturers, software licenses, cloud platforms, carrier and internet services, and telecommunications providers. These third-party products and services are governed by their own manufacturer or provider terms, licenses, and warranties. Mynians does not control third-party providers and does not make warranties on their behalf. Where we resell or provision third-party services for you, our responsibility is to provision and support them with reasonable skill and care, not to guarantee the third party’s performance. Manufacturer warranties, cloud provider service levels, and carrier terms remain between you and that provider except where a Service Agreement expressly states otherwise.
9. Availability and Technology Limitations
Technology services depend on factors beyond any provider’s full control, including internet and carrier connectivity, electrical power, cloud vendor availability, the condition of your hardware and environment, third-party software behavior, and scheduled maintenance. We do not promise that the Site or any technology service will be uninterrupted or error-free. VoIP and cloud services in particular depend on your internet connection and power; features such as emergency calling may operate differently than traditional telephone service, as described in the applicable service documentation. Any specific availability commitments applicable to your services appear in your Service Agreement.
10. Cybersecurity Services
We design and operate cybersecurity measures using commercially reasonable practices. However, no security product, service, or configuration can guarantee the prevention of every intrusion, malware event, compromise, outage, or data loss. Cybersecurity services reduce risk; they cannot eliminate it. Except as expressly stated in a Service Agreement, our cybersecurity services are provided without any guarantee that security incidents will not occur, and you remain responsible for your own risk management decisions, including insurance coverage appropriate to your business.
11. Intellectual Property
The Site and its content — including text, graphics, logos, page designs, and documentation — are owned by Mynians or its licensors and are protected by copyright, trademark, and other laws. “Mynians” and our logos are trademarks of Mynians, LLC. You may view, download, and print Site content for your internal business evaluation of our services; you may not reproduce, republish, or exploit Site content commercially without our prior written permission. Third-party names, marks, and products referenced on the Site belong to their respective owners, and we claim no ownership of them.
12. Acceptable Use
You agree not to use the Site to: violate any law; transmit malicious code or attempt to gain unauthorized access to any system; interfere with the Site’s operation or security; scrape or harvest data without permission; impersonate any person or entity; or submit fraudulent, abusive, or unlawful content. We may restrict access to the Site to protect it or its users.
13. Submissions and Communications
Information you submit through Site forms or send to us (other than personal information governed by our Privacy Policy) may be used by Mynians to respond to you, prepare quotes, and improve our services. Do not submit confidential information through public Site forms; confidentiality obligations, where needed, are established in Service Agreements or separate written agreements.
14. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. Cookie choices are available on our Opt-Out Preferences page.
15. Third-Party Links
The Site contains links to third-party websites, including our client support portal and social media platforms. These links are provided for convenience; we do not control and are not responsible for the content, policies, or practices of third-party sites.
16. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MYNIANS DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SITE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS SECTION DOES NOT LIMIT ANY EXPRESS WARRANTY STATED IN A SIGNED SERVICE AGREEMENT, AND DOES NOT AFFECT MANUFACTURER WARRANTIES THAT ACCOMPANY THIRD-PARTY PRODUCTS.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) MYNIANS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) MYNIANS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). LIABILITY RELATING TO SERVICES DELIVERED UNDER A SERVICE AGREEMENT IS GOVERNED BY THAT SERVICE AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU; IN THAT CASE, LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW PERMITS.
18. Indemnification
You agree to defend, indemnify, and hold harmless Mynians and its members, managers, employees, and agents from claims, damages, and reasonable costs (including attorneys’ fees) arising from your violation of these Terms, your unlawful use of the Site, or content or information you submit through the Site, except to the extent caused by Mynians’ own wrongful conduct.
19. Force Majeure
Mynians is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemics, utility or telecommunications outages, internet or carrier failures, cyberattacks against third parties, labor disturbances, acts of government, or acts of war or terrorism. Obligations affected by such an event are suspended for its duration, and we will use reasonable efforts to resume performance promptly.
20. Termination and Suspension
We may suspend or terminate access to the Site at any time for conduct that violates these Terms or threatens the Site’s security or operation. Termination of Site access does not by itself terminate any Service Agreement; termination of services is governed by the termination provisions of the applicable Service Agreement. Sections that by their nature should survive (including Sections 11, 16–19, and 21–25) survive termination.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site that is not governed by a Service Agreement’s dispute provisions will be brought exclusively in the state courts located in Orange County, Florida, or the United States District Court for the Middle District of Florida, and the parties consent to the jurisdiction of those courts.
22. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
23. Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later. Any waiver must be in writing to be effective.
24. Assignment
You may not assign these Terms without our prior written consent. Mynians may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
25. Entire Agreement; Relationship to Service Agreements
These Terms, together with the Privacy Policy and any documents they incorporate, are the entire agreement between you and Mynians regarding use of the Site. They do not replace, amend, or supersede any Service Agreement; Service Agreements remain the controlling documents for the services they cover, as described in Section 5. Nothing on the Site creates a partnership, joint venture, or agency relationship between you and Mynians.
26. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above shows the current version, and updated Terms take effect when posted on this page. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. Changes do not retroactively modify a signed Service Agreement.
